1. Acceptance of Terms

By accessing or using the Taskquatch™ mobile application and services ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you may not access the Service.

2. Description of Service

Taskquatch™ is a marketplace platform that connects individuals seeking services ("Customers") with service providers ("Taskquatchers"). We facilitate the connection between parties but are not a party to any service agreement between Customers and Taskquatchers.

3. User Accounts and Registration

You must be at least 18 years old to use the Service

You are responsible for maintaining the confidentiality of your account credentials

You must provide accurate, current, and complete information during registration

By registering, you agree to our End User License Agreement (EULA) and Community Guidelines

4. User-Generated Content and Community Guidelines

Taskquatch™ has a ZERO TOLERANCE policy for objectionable content and abusive behavior. By using our Service, you agree to the following:

You are solely responsible for all content you post, including task descriptions, messages, photos, profile information, social feed posts, and comments

You will not post content that is illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable

You will not post content that violates any third-party rights, including intellectual property rights

You will not engage in harassment, discrimination, hate speech, or any form of abusive behavior

You will not share personal information of others without their explicit consent

You will not attempt to circumvent our payment systems or engage in fraudulent activities

Social Features and Community Feed:

Social feed posts and comments are visible to other users in the community

Taskquatch™ may curate, feature, promote, or remove feed content at its sole discretion

Content posted to the community feed may be displayed publicly and may remain visible even after you delete your account

You may report inappropriate content through the in-app reporting system

5. Content Moderation and Enforcement

We reserve the right to review, filter, and remove any content that violates these Terms

Users can report objectionable content through our in-app reporting system

We will investigate all reports within 24 hours and take appropriate action

Violations may result in immediate content removal, account suspension, or permanent ban

Users can block other users to prevent further communication

6. User Safety and Privacy

We implement content filtering to detect and prevent inappropriate content

All user communications are monitored for compliance with our Community Guidelines

We maintain the right to access and review content for safety and compliance purposes

Users who violate these Terms will be immediately removed from the platform

7. Service Usage and Conduct

You must use the Service only for lawful purposes and in accordance with these Terms

You will not interfere with or disrupt the Service or servers connected to the Service

You will not attempt to gain unauthorized access to any part of the Service

You are responsible for all activities that occur under your account

8. User Responsibilities

For Customers:

Provide accurate task descriptions and requirements

Pay for services as agreed upon

Treat Taskquatchers with respect and professionalism

Provide timely feedback and completion confirmation

For Taskquatchers:

Provide services in a professional and timely manner

Maintain appropriate licenses and insurance where required

Comply with all applicable laws and regulations

Communicate clearly with customers about service delivery

9. Payment and Fees

All payments are processed securely through our platform

Taskquatch™ charges a service fee on completed transactions

Payment processing fees may apply

Refunds are subject to our refund policy detailed below

Taskquatchers receive payment according to our payment schedule

You authorize Taskquatch™ and our payment processors to place holds, capture preauthorizations, and charge your payment methods for tasks, adjustments, tips, taxes, and fees

Chargebacks and disputes: you agree to cooperate and provide evidence; we may offset negative balances, chargeback amounts, and fees against future payouts or stored payment methods

Payouts to Taskquatchers may be delayed, withheld, or reversed for suspected fraud, disputes, or policy violations; we may net any amounts you owe us

You are responsible for all applicable taxes; currency conversion or bank/FX fees may apply

10. Refund and Cancellation Policy

We strive to ensure customer satisfaction while protecting the interests of our service providers. Our refund policy is designed to be fair to all parties involved.

Customer-Initiated Cancellations:

Full Refund (100%):

Within 5 minutes of task creation

No Taskquatcher has accepted or engaged with your task

Partial Refund (80% refund, 20% cancellation fee):

After 5 minutes of task creation AND a Taskquatcher has accepted the task

A Taskquatcher is actively engaged with your task (accepted, on the way, at location, or working on it)

The 20% cancellation fee compensates the Taskquatcher for their time and commitment

Taskquatcher-Initiated Cancellations:

Customers always receive a full refund (100%) when a Taskquatcher cancels

Taskquatchers who cancel within 15 minutes of accepting a task incur no penalty

Taskquatchers who cancel after 15 minutes of accepting a task will be charged a penalty equal to the vendor fee, deducted from future payouts

System-Initiated Cancellations:

Tasks that remain unassigned for an extended period will be automatically cancelled

Customers receive a full refund (100%) for system-cancelled tasks

Refund Processing Timeline:

Cancellations are processed immediately through the app

Refunds are issued to the original payment method

Refunds typically appear within 5-10 business days depending on your financial institution

Full refunds include all service fees; partial refunds include proportional service fee refunds

Non-Refundable Items:

Tips are non-refundable once paid

Payment processing fees may be non-refundable in certain circumstances

Tasks marked as completed are not eligible for automatic refunds

Dispute Resolution for Completed Tasks:

If you're unsatisfied with completed work, contact support within 48 hours at support@taskquatch.app

Provide your task ID, detailed explanation, and supporting evidence (photos, videos, etc.)

Our team will review and respond within 24-48 hours

We may request additional information from both parties

Refunds for completed tasks are granted at Taskquatch™'s sole discretion

Our decision on refund disputes is final

Non-Refundable Situations for Completed Tasks:

Task was completed as described in the task description

Customer dissatisfaction with completed work that meets the agreed-upon requirements

Customer was not present or available at the scheduled time

Customer changed requirements after task completion

Customer's change of mind after service delivery

11. Prohibited Activities

You agree not to:

Use the Service for any illegal or unauthorized purpose

Violate any applicable laws or regulations

Harass, abuse, or harm other users

Attempt to circumvent payment systems

Provide false or misleading information

Interfere with or disrupt the Service

12. Intellectual Property

The Service and its original content, features, and functionality are owned by Taskquatch™ and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

By posting content on the Service (including but not limited to task descriptions, messages, photos, reviews, and profile information), you grant Taskquatch™ a non-exclusive, royalty-free, perpetual, irrevocable, transferable, and worldwide license to use, reproduce, modify, adapt, publish, display, distribute, and promote such content for platform operation, improvement, and marketing purposes. This license continues even if you stop using the Service.

Distinction from Advertising Consent: The marketing license granted in this section covers general brand promotion and platform screenshots that may include anonymized or aggregate user content (such as testimonials, platform demonstrations, and case studies where individual identity is not prominently featured). Use of your specific profile picture, name, portfolio photos, and likeness in targeted advertising campaigns requires separate explicit consent as described in Section 13 (Advertising and Marketing Use of Profile Information).

You represent and warrant that you own or have the necessary rights to grant this license for all content you post, and that your content does not infringe any third-party rights.

13. Privacy and Data Protection

Your privacy is important to us. Please review our Privacy Policy, which also governs your use of the Service, to understand our practices regarding the collection and use of your personal information.

Identity verification & profile photos: To protect platform integrity, we may use images you provide during identity verification (for example, government ID photos and selfies) to create or update the profile photo displayed in the app. We may also compare an uploaded profile photo to your verification images to confirm identity and prevent fraud. Verification images are not shared with other users; only the derived profile photo is shown. For details on handling and retention, see our Privacy Policy.

Biometric/face-matching notice: If you enable device biometrics (for example, Face ID, Touch ID, or Android BiometricPrompt) to log in, your biometric data stays on your device; we only receive a pass/fail signal and do not access, collect, store, sell, or share biometric identifiers or templates. If we ever request biometric face-matching for identity verification, we will provide separate notice and consent at that time. If we do not create or store biometric templates, this paragraph does not apply.

Volunteering and Taskquatch™ Task Force: If you opt in to participate in Taskquatch™ Task Force, our nonprofit volunteer program, you agree that Taskquatch™ may contact you using any information you provided in your vendor application (including but not limited to your name, email address, phone number, and address) for the purpose of communicating about volunteering opportunities, community initiatives, and related nonprofit activities. You may opt out of volunteering at any time through your account settings.

By opting in to Taskquatch™ Task Force, you consent to receive communications from Taskquatch™ regarding volunteer opportunities and community service initiatives. These communications may be sent via email, phone, or other contact methods you have provided.

Advertising and Marketing Use of Profile Information (Taskquatchers): As a Taskquatcher (vendor), you may opt in to allow Taskquatch™ to use certain profile information in our advertising and marketing materials. If you provide explicit consent during the vendor application process or through your Privacy settings, you grant Taskquatch™ the right to use the following information in advertising campaigns: your profile picture, cover picture, first name and last name initial (e.g., "John D."), portfolio photos, recent photos, and personalized QR code that allows potential customers to add you to their favorites and hire you directly.

By opting in to advertising use, you understand and agree to the following:

Advertising Channels: Your profile information may appear in the following channels: (i) Digital: in-app promotions, website banners, and programmatic display ads; (ii) Social Media: Meta (Facebook/Instagram), TikTok, X (Twitter), LinkedIn, and similar platforms; (iii) Email: Taskquatch™ promotional emails and newsletters; (iv) Video: YouTube ads and streaming pre-roll advertisements.

Excluded Channels: The following require separate written consent and are NOT covered by this advertising consent: physical billboards or outdoor advertising, television commercials, print newspapers or magazines, and third-party licensing to other companies.

Business Benefits: This use helps increase your exposure to potential customers and may result in more business opportunities.

Withdrawal of Consent: You can withdraw this consent at any time through Settings → Privacy → Advertising Consent. Upon withdrawal: (i) we will cease using your profile information in new advertising materials within 7 days; (ii) previously published materials will be removed from all active digital campaigns within 60 days; (iii) materials in physical print (if any) may remain in circulation for up to 90 days from opt-out.

Removal Verification: Upon request after the 60-day removal period, we will provide written confirmation that your profile has been removed from all active advertising campaigns.

Brand Safety: Taskquatch™ will use your information in a professional and respectful manner consistent with our brand standards. We will not intentionally place your profile information alongside content that is violent, sexually explicit, politically extreme, or otherwise potentially damaging to your reputation.

No Compensation: Advertising Consent is provided voluntarily and without monetary compensation. The benefit to you is increased visibility and potential customer acquisition. You will not receive royalties, licensing fees, or any other payment for the use of your profile information in advertising.

No AI Manipulation: Your profile information will be used as-is without AI manipulation, morphing, or use in generative AI models. We will not create synthetic or deepfake content using your likeness. Minor editing (cropping, brightness adjustment, adding text overlays) is permitted.

Third-Party Content in Photos: By uploading portfolio photos, you represent and warrant that: (i) you have obtained consent from any identifiable individuals appearing in your photos for their likeness to be used in advertising; (ii) the photos do not include minors unless you are their parent or legal guardian and have consent; (iii) you will indemnify Taskquatch™ for any claims arising from third-party appearances in your submitted content.

Automatic Termination: Advertising consent automatically terminates upon: (i) account deletion or permanent suspension; (ii) 12 months of continuous account inactivity (no logins); (iii) notification of user's death by verified next-of-kin. Upon termination, the standard 60-day removal timeline applies.

California Residents: You acknowledge that by providing advertising consent, you are waiving certain rights under California Civil Code Section 3344 regarding the use of your name and likeness for commercial purposes, for the specific advertising uses described herein.

International Use: Advertising containing your profile may be displayed internationally. If you are an EU resident, additional protections under GDPR apply. Contact hello@taskquatch.app for EU-specific data requests.

This advertising consent is separate from and in addition to the general content license granted in Section 12 (Intellectual Property). You are not required to provide this consent to use the Service as a Taskquatcher, and your decision to opt in or out does not affect your ability to provide services through the platform.

14. Dispute Resolution and Vendor Accountability

Arbitration and class waiver: Except for small-claims matters, any dispute arising out of or relating to the Service will be resolved by binding individual arbitration. You and Taskquatch™ waive any right to a jury trial or to participate in class or representative actions. The arbitration provider, rules, and filing location will be reasonably accessible (including virtual proceedings).

Arbitration rules and forum: The arbitration will be administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Rules if the Consumer Rules do not apply), as modified by these Terms. Filing and hearings may be virtual; if an in-person hearing is required, it will occur in the county where you reside (or another location we both agree to). The arbitrator may award fees and costs as permitted by the AAA rules; Taskquatch™ will pay filing or administrative fees where required by applicable law.

Small claims carve-out: Either party may bring an individual claim in small-claims court in a permissible venue

Opt-out: If required by law, you may opt out of arbitration by sending written notice within 30 days of first accepting these Terms

Time limits: Any claim must be filed within one (1) year after it arose or it is permanently barred

Vendor Accountability: Taskquatchers (service providers) are solely and independently responsible for their services, work quality, compliance with applicable laws and regulations, maintenance of required licenses and insurance, and any claims, damages, or liabilities arising from their conduct, actions, or services. Taskquatch™ is a marketplace platform that facilitates connections and is not responsible for the actions, omissions, or services provided by Taskquatchers.

15. Limitation of Liability

Taskquatch™ shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from your use of the Service. To the maximum extent permitted by law, Taskquatch™’s total liability arising out of or relating to the Service is limited to the greater of (a) the amounts you paid to Taskquatch™ for the Service in the twelve (12) months preceding the claim or (b) $100. Any claim must be brought within one (1) year of the event giving rise to it. These limitations do not apply where prohibited by law.

16. Indemnification

You agree to defend, indemnify, and hold harmless Taskquatch™ and its affiliates from and against any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of the Service or violation of these Terms.

17. Termination

We may terminate or suspend your account immediately, without prior notice, for violations of these Terms

Upon termination, your right to use the Service will cease immediately

All relevant provisions of these Terms, including but not limited to the Intellectual Property license grant, Limitation of Liability, Indemnification, Dispute Resolution, and any outstanding payment obligations, shall survive account termination

18. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion.

19. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law provisions. Venue for any small-claims court action or for any matter not subject to arbitration will be the state or federal courts located in Delaware, and you consent to their jurisdiction. Dispute resolution is otherwise governed by Section 14 (Dispute Resolution).

20. Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law and the remaining provisions will continue in full force and effect.

21. Trademark Notice

Taskquatch™ is a trademark of Taskquatch, LLC. All other trademarks, service marks, and trade names are the property of their respective owners. Unauthorized use of the Taskquatch™ trademark or any confusingly similar marks is prohibited.

22. Review Policy

1. Purpose of Reviews

Reviews on Taskquatch™ are intended to provide honest, constructive feedback about services received to help other customers make informed decisions and to promote high-quality service on the platform.

2. Eligibility to Post Reviews

Only customers who have completed a paid task through Taskquatch™ may post a review for the associated Taskquatcher.

3. Content Guidelines

Reviews must be based on genuine experiences and must not contain false, misleading, defamatory, offensive, or discriminatory language. Personal attacks, hate speech, or the sharing of private information is strictly prohibited.

4. Moderation and Removal

Taskquatch™ reserves the right to review, moderate, edit, or remove reviews that violate these guidelines or our Community Standards. Reviews may be removed for spam, fake content, irrelevance, or abuse.

5. Dispute Resolution Related to Reviews

If a customer disputes a review or service outcome, they may contact Taskquatch™ support with evidence within 48 hours of task completion. Taskquatch™ will review the case and may remove or flag reviews at its discretion based on the investigation.

6. Impact of Reviews

Reviews contribute to a Taskquatcher's rating and reputation on the platform and may influence future service opportunities.

By using Taskquatch™, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all referenced policies and guidelines.

23. Referral Program

Taskquatch™ offers a referral program that rewards users for inviting friends to join the platform. By participating in the referral program, you agree to the following terms:

Referrers receive a $10 credit when a referred user (referee) signs up using their referral code and completes their first paid task

Referees also receive a $10 credit applied to their account after completing their first paid task

Each user account is limited to one unique referral code

There is no limit on the number of referrals you can make

Referral credits are non-transferable and cannot be redeemed for cash

Referral credits expire after 12 months of account inactivity (no logins)

Fraudulent, abusive, or manipulated referrals (including self-referrals, fake accounts, or coordinated schemes) may result in credit forfeiture and account suspension

Taskquatch™ reserves the right to modify, suspend, or terminate the referral program at any time without prior notice

Referral program terms are subject to change; continued participation constitutes acceptance of modified terms

24. Promotional Credits and Coupons

Taskquatch™ may offer promotional credits, coupons, or discount codes from time to time. The following terms apply to all promotional offers:

Promotional credits are applied automatically at checkout when eligible

Credits and coupons cannot be combined with other offers unless explicitly stated

Promotional credits have no cash value and cannot be transferred, sold, or redeemed for cash

Expired or unused promotional credits are forfeited and cannot be reinstated

Promotional offers may be subject to minimum purchase requirements or other restrictions

Taskquatch™ reserves the right to modify, limit, or discontinue any promotional offer at any time

Abuse of promotional offers may result in credit forfeiture and account suspension

25. Recurring Tasks

Taskquatch™ allows users to schedule recurring tasks that repeat at specified intervals. By using the recurring task feature, you agree to the following:

Users may schedule tasks to repeat daily, weekly, bi-weekly, monthly, or at custom intervals

Payment authorization is required at the time of recurring task creation; your payment method will be charged for each scheduled task

You are responsible for managing and canceling recurring tasks before their scheduled execution if you no longer require the service

Taskquatch™ may assign different Taskquatchers for each occurrence of a recurring task based on availability

Recurring tasks are subject to the same cancellation and refund policies as one-time tasks

Preferred Taskquatcher assignments for recurring tasks are not guaranteed and depend on vendor availability

Taskquatch™ may notify you of upcoming recurring task executions but is not obligated to do so

Failure to maintain a valid payment method may result in recurring task cancellation

26. Vendor Favorites and QR Codes

Taskquatch™ provides features that allow users to save favorite Taskquatchers and for Taskquatchers to share personalized QR codes. The following terms apply:

Users may add Taskquatchers to their favorites list for easier access and booking

Taskquatchers may share their personalized QR code to allow potential customers to add them to favorites and request their services directly

QR codes link directly to the Taskquatcher's profile within the Taskquatch™ platform

All bookings, payments, and communications must be conducted through the Taskquatch™ platform

Attempting to circumvent the platform's payment system or arrange off-platform transactions through QR codes or favorites is strictly prohibited and may result in account suspension

Taskquatch™ may track and analyze favorites and QR code usage for platform improvement and fraud prevention

27. Games and Interactive Features

Taskquatch™ may include optional games, challenges, or interactive features within the app. By participating in these features, you agree to the following:

Participation in games and interactive features is voluntary and does not affect your access to core platform services

Game performance data (including scores, completion times, and move counts) may be collected and stored

Your location data may be used to derive city and state information for leaderboard display purposes

Leaderboard rankings may be displayed publicly with anonymized or truncated user identifiers to protect privacy

Taskquatch™ reserves the right to modify, suspend, or discontinue any game or interactive feature at any time

Game features are provided "as is" for entertainment purposes; no prizes or rewards are guaranteed unless explicitly stated

Attempting to manipulate game results, exploit bugs, or engage in unfair practices may result in score removal and account action

28. Tips and Gratuities

Taskquatch™ allows customers to provide tips to Taskquatchers for services rendered. The following terms apply:

Tips are voluntary and not required; the quality of service should not be affected by whether a tip is expected

100% of tips go directly to the Taskquatcher who performed the service

Tips can be added at the time of task completion through the app

Tips are non-refundable once processed

Taskquatchers are prohibited from soliciting tips or implying that tips are mandatory

Tips are included in the Taskquatcher's earnings and paid out according to our standard payment schedule

29. Background Checks

Where permitted by law, you authorize Taskquatch™ to conduct identity verification and background checks using third-party providers

Background checks may be limited in scope, may not be available in all jurisdictions, and do not guarantee safety or future conduct

We may deny, suspend, or terminate access based on check results or inability to verify information

30. Location Services

You consent to Taskquatch™ collecting, using, and sharing location data for matching, routing, safety, fraud prevention, and status updates (e.g., on the way/at location)

Location accuracy depends on your device and network; the Service may not function correctly if location services are disabled

31. AI and Automated Tools

Taskquatch™ may use automated systems (including AI/ML) for recommendations, fraud prevention, safety screening, and content moderation; such systems may generate errors or delays

32. Marketing Communications

You consent to receive emails, SMS, calls, and push notifications about your account, tasks, and marketing; you can opt out of marketing communications through provided mechanisms

Message and data rates may apply for SMS or calls

33. Intellectual Property Claims and Takedown

DMCA notices: If you believe content infringes your copyright, email a notice to support@taskquatch.app with: (a) your physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material to be removed; (d) your contact information; (e) a statement of good-faith belief the use is unauthorized; and (f) a statement, under penalty of perjury, that the information is accurate and you are authorized to act for the owner.

Counter-notices: To dispute a removal, email a counter-notice to support@taskquatch.app with: (a) your physical or electronic signature; (b) identification of the removed material and its location before removal; (c) a statement under penalty of perjury that you have a good-faith belief the material was removed due to mistake or misidentification; and (d) your name, address, phone, and consent to jurisdiction in your residence county (or New Castle County, Delaware if outside the US) and acceptance of service from the original complainant. We may restore content consistent with applicable law.

We may remove content and terminate repeat infringers’ access where legally required

34. App License and Third-Party Services

Taskquatch™ grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for personal, non-commercial use

License scope: This license covers the app, site, and software components solely for your personal, non-commercial use, and does not transfer any ownership rights

Restrictions: You may not reverse engineer, decompile, disassemble, scrape, automate access to, or create derivative works of the Service; you may not circumvent security or use the Service to build or improve competing services

App store terms: Your use is also subject to the applicable app store’s terms (e.g., Apple App Store, Google Play), which control if they conflict; those stores and their affiliates are third-party beneficiaries of this license

Updates and components: We may provide updates automatically; the Service may include third-party or open-source components that are governed by their own licenses where applicable

Export/sanctions: You may not use or export the Service in violation of export control or sanctions laws, including to embargoed countries or restricted parties

Device security: You are responsible for device security and account credentials; we do not guarantee compatibility with all devices or OS versions

Beta/experimental features (if offered) are provided “as is” and may change, break, or be withdrawn

Your use of app stores and third-party services (including payment processors) is subject to their terms; Taskquatch™ is not responsible for third-party services

35. Warranty Disclaimer

The Service is provided on an “AS IS” and “AS AVAILABLE” basis without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not guarantee uptime, availability, accuracy, or that the Service will be error-free.

36. Force Majeure

Taskquatch™ is not liable for delays or failures caused by events beyond our reasonable control, including natural disasters, power or internet outages, labor disputes, or governmental actions.

37. Assumption of Risk and Safety

In-person meetings and task interactions involve inherent risks; you assume all risks related to meeting or interacting with other users and are responsible for your own safety

Taskquatch™ does not control user conduct and is not liable for actions, omissions, or services provided by other users

Use common-sense safety practices (e.g., meet in public when possible, share status with a trusted contact, verify details in-app); if you feel unsafe, stop the interaction and seek assistance
